9. Appointment and Scope of Work

  • The Company appoints the Sales Agent to promote, market, and sell its products and services.
  • The Sales Agent agrees to represent the Company professionally and diligently.

10. Independent Contractor Status

  • The Sales Agent is an independent contractor, not an employee, partner, or legal representative of the Company.

11. Duties and Responsibilities

  • Actively promote the Company's products and services.
  • Maintain high ethical standards.
  • Comply with all applicable laws and Company policies.
  • Protect the Company's reputation and interests.

12. Commission and Payment

  • Commissions are credited to the Sales Agent's marketing associate portal on the Company's website upon every client payment.
  • Withdrawn amounts will be credited to the Sales Agent's respective bank account within 24 to 72 hours, excluding weekends and holidays.

13. Confidentiality

  • The Sales Agent agrees to the confidentiality obligations detailed in the NDA, incorporated by reference into this Agreement.

14. Term and Termination

  • This Agreement remains effective until terminated by either party with 30 days' written notice or immediately by the Company for cause.

15. Governing Law and Dispute Resolution

  • This Agreement shall be governed by and construed in accordance with the laws of the Philippines, without regard to its conflict of law principles.
  • Any disputes arising under this Agreement shall first be attempted to be resolved amicably through mediation.
  • If mediation fails, disputes shall be resolved through arbitration in accordance with Philippine arbitration laws.

General Provisions:

Amendments and Updates

  • The Company reserves the right to modify these Terms at any time.
  • Any updates will be effective upon posting on the Company's website.
  • Your continued use of the website following any changes signifies your acceptance of the new Terms.
  • Please review these Terms periodically for updates.

Severability

  • If any provision is deemed invalid or unenforceable, it shall not affect the remainder of the Agreement.

Entire Agreement

  • This Agreement, along with the NDA, constitutes the entire agreement between the parties.
